Thank you for your enquiry! I can’t wait to start working together. If you’d like to proceed with a brief, please carefully read the below T&C’s and submit your agreement.
1. Services Provided
The Designer (Jessica Reid) provides graphic & apparel design services on an ongoing basis or project-by-project. Specific project details, including deliverables and timelines, will be discussed and agreed upon before the start of work.
2. Pricing and Quotes
Prices provided are indicative only. A detailed quote can be given upon request, based on the complexity of the design (Simple, Moderate, or Complex+). Quotes are based on the information provided in the client’s brief and may change if the project scope or design requirements are altered. The Designer will notify the client if there are any changes before proceeding with additional work. Clients will be notified of any pricing updates with 30 days’ notice.
3. Payment Terms
• Payment is due within 7 days of receiving the approved design.
• Final design files/specs will only be provided after full payment is received.
• A non-refundable deposit of 50% is required before work begins on any project. This deposit will be applied to the final balance.
• Any additional costs (e.g., custom fonts, photography, hand rendering) not discussed at the time of the initial briefing will be charged separately.
4. Late Payment Fees
Payments are due within 7 days of invoice receipt. At the Designer’s discretion, late payments may incur a fee of $70 per week after the due date unless alternative payment terms have been agreed upon in writing by both parties.
5. Revisions
One minor revision (e.g., colour adjustments or small layout changes) is included with each design, limited to 1 hour of work. Additional revisions or changes that exceed 1 hour will be billed at $120/hr. If the project scope changes significantly (e.g., more than 25% of the original design), the Designer reserves the right to adjust the pricing and will inform the client before proceeding.
6. Client Responsibilities
The client agrees to provide all necessary information, content, and feedback in a timely manner. Delays in providing feedback or required materials may impact the project’s timeline and final delivery.
8. Amendments During Product Development
If any artwork amendments or changes to the design specifications are required during the product development stage, these changes are not included in the initial design fee. Any additional work required at this stage will be billed at $120/hr.
9. Ownership and Usage Rights
Upon full payment, the client is granted exclusive rights to use the final design for its intended purpose. The client agrees not to modify, alter, or pass on the design files to third parties or other designers without prior consent. The Designer retains the right to use the designs for portfolio and promotional purposes. If the client wishes to license the design to a third party, a separate licensing agreement must be arranged.
10. Confidentiality
The Designer agrees to keep confidential any proprietary information provided by the client during the project. This information will not be shared with third parties without the client’s written consent.
11. Termination & Cancellation
Either party may terminate the agreement at any time. If the client cancels the project after work has commenced, they agree to pay the Designer for all work completed up to the point of cancellation. The client will be invoiced for the work completed based on the agreed price provided in the estimate, and the Designer is not obligated to deliver any incomplete designs upon cancellation.
12. Indemnification
The client agrees to indemnify and hold harmless the Designer from any claims, damages, losses, or expenses arising out of the client’s use of the designs, including legal actions related to copyright infringement or misuse.
13. Force Majeure
The Designer will not be liable for any delays or inability to deliver services due to unforeseen events beyond their control, including but not limited to natural disasters, illness, technical failures, or other force majeure events.
14. Dispute Resolution
In the event of a dispute, both parties agree to attempt resolution through informal negotiations. If the issue cannot be resolved, the parties may opt for mediation or arbitration before pursuing legal action.
15. Limit of Liability
The Designer’s liability for any claim arising out of or in connection with the services provided will not exceed the total amount paid by the client. The Designer will not be liable for any indirect, incidental, or consequential damages, including lost profits, arising from the use of the designs or delays in project completion.
16. Amendments to Terms
The Designer reserves the right to update these Terms and Conditions at any time. Clients will be notified of significant changes, and continued work on the project after such notification will constitute agreement to the updated terms.
17. Acceptance
By proceeding with any design work, the client acknowledges and agrees to the Terms and Conditions outlined above.
